the defaulting Member/ the Insolven

the defaulting Member/ the Insolvent Member for:
(a) sums received by the other Members in respect of work properly done by the defaulting Member or by the Insolvent Member,
(b) sums received from the defaulting Member or the Insolvent Member under Article 9.13 (f),
(c) the value obtained by the other Members from the use of any assets taken over and used under Article 9.13 (b),
(d) sums received by the other Members or credit allowed by PGE as a result of a call on a Bond or payment received under the insurance policy covering the liabilities of the defaulting Member or the Insolvent Member, and
(e) any liability or loss or expense incurred by the other Members or by a new Member introduced pursuant to Article 9.13 (a) (iii) as a result of a default under Article 9.13 or an event under Article 9.14.

If the result of the account is to show that a sum is due from the defaulting Member or from the Insolvent Member to the other Members, the defaulting Member or the Insolvent Member shall immediately pay that sum to the other Members. If the result of the account is to show that a sum is due from the other Members to the defaulting Member or to the Insolvent Member, the other Members shall immediately pay that sum to the defaulting Member or to the Insolvent Member.

9.16 Anti-corruption and anti-bribery are fundamental and always required by the Members and the Members agree that any acts of corruption or bribery will not and must not be tolerated. Each Member shall each ensure and procure (and therefore unequivocally warrants, undertakes, covenants and represents) that it and all its servants, agents, officers, consultants, employees, suppliers and/or sub-contractors shall always fully and strictly observe, comply with and implement any and all anti-corruption and anti-bribery laws of any jurisdiction which govern the Member. If any Member is in breach of any of the anti-corruption and anti-bribery laws or this provision, the non-defaulting Members for the purpose of protecting their interest shall be entitled including but not limited to that, as against the Member in breach, to exercise all the rights available to the other Members by Article 9.13 and Article 9.15 shall apply.

9.17 The Members further covenant to each other that in the event of a proposed change of control of either JFEEI, JFE or NK during the term of this Agreement, the Members shall cooperate with each other to seek the prior approval of PGE before such change of control becomes effective in accordance with the terms of the Contract. For the purposes of this Article, “Control” shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management and affairs of a person, whether through legal and / or beneficial ownership of more than 50% (fifty percent) of the voting securities of such person, by agreement or otherwise or the power to elect majority of directors, partners or other individuals exercising similar authority with respect to such person.

9.18 Each of the Members represents and warrants to the other as under:

(e) kewajiban atau kerugian atau biaya yang dikeluarkan oleh Anggota lain atau Anggota baru diperkenalkan berdasarkan Pasal 9.13 (a ) (iii) sebagai hasil dari default berdasarkan Pasal 9.13 atau peristiwa berdasarkan Pasal 9.14.
