13.2. Termination of Work Statements by Client

Client may, at its sole option, terminate any or all Work Statements outstanding, or any portion thereof, upon thirty (30) days' written notice. Upon receipt of notice of such termination, Ice House shall inform Client of the extent to which performance has been

completed through such date, and collect and deliver to Client whatever work product then exists in a manner prescribed by Client. Ice House shall be paid for all work performed through the date of termination, provided that fees for Deliverables priced on a fixed cost basis shall not be greater than the payment that would have become due if the work had been completed, and Ice House shall, in addition, be paid for expenses incurred by Ice House in connection with discontinuance of the work in a mutually agreed, orderly fashion.

13.3. Termination of Work Statements by Ice House

Ice House may not terminate any Work Statement without cause, once Ice House has entered into such Work Statement. However, Ice House may terminate any or all Work Statements outstanding for the following causes: (i) failure of Client to make any payments when due; or (ii) if, at least ten (10) Business Days following notice of delay (pursuant to Section 4.2) for Client's interruption of work, provided the cause(s) for the interruption are within Client's control, Client has failed to remedy the work interruption. Upon termination pursuant to this Section, Ice House shall inform Client of the extent to which performance has been completed through such date, and collect and deliver to Client whatever work product then exists in a manner prescribed by Client. Ice House shall invoice Client, and Client shall promptly pay Ice House for all work performed through the date of termination, as well as any time and materials billings occurring during the work interruption period, and including expenses incurred by Ice House in connection with discontinuance of the work in a mutually agreed, orderly fashion.


13.4. Termination of Agreement

Either Party may terminate this Agreement upon not less than ninety (90) days' notice to the other Party; provided, however, this Agreement shall continue to remain in effect with respect to any Work Statement already issued hereunder until such other Work Statement Work is itself terminated and/or performance thereunder is completed.

13.5. Survival

In the event of any termination of this Agreement, the terms and conditions of Article 10, Article 11, Article 12, Section 13.5 and Article 14 hereof shall survive and continue in effect and shall inure to the benefit of and be binding upon the Parties and their legal representatives, heirs, successors and assigns.

Ice House harus dibayar untuk semua pekerjaan yang dilakukan sampai dengan tanggal terminasi, asalkan biaya untuk Kerja harga berdasarkan nilai tetap tidak boleh lebih besar dari pembayaran yang akan jatuh tempo jika pekerjaan telah selesai, dan Ice House wajib, di samping itu, harus dibayar untuk biaya yang dikeluarkan oleh Ice House sehubungan dengan penghentian pekerjaan dalam disepakati bersama, tertib fashion.

13.3. Penghentian Laporan Kerja dengan Ice House

Ice House mungkin tidak menghentikan Pernyataan Kerja tanpa sebab, setelah Ice House telah menandatangani Pernyataan Kerja tersebut. Namun, Ice House dapat mengakhiri salah satu atau semua Laporan Kerja yang luar biasa untuk penyebab berikut: (i) kegagalan Client untuk melakukan pembayaran setiap saat karena; atau (ii) jika, setidaknya sepuluh (10) Hari Kerja setelah pemberitahuan keterlambatan (sesuai dengan Bagian 4.2) untuk gangguan Klien kerja, disediakan penyebab (s) untuk interupsi berada dalam kontrol Klien, Klien telah gagal untuk memperbaiki gangguan kerja. Setelah penghentian sesuai dengan Bagian ini, Ice House akan menginformasikan Client dari sejauh mana kinerja telah selesai melalui tanggal tersebut, dan mengumpulkan dan menyampaikan kepada Klien apapun produk kerja maka ada dalam cara yang ditentukan oleh klien. Ice House akan menagih kepada Client, dan Client harus segera membayar Ice House untuk semua pekerjaan yang dilakukan sampai dengan tanggal terminasi, serta setiap waktu dan bahan tagihan yang terjadi selama periode gangguan kerja, dan termasuk biaya yang dikeluarkan oleh Ice House sehubungan dengan penghentian pekerjaan dalam disepakati, teratur.


13.4. Pengakhiran Perjanjian

Salah satu Pihak dapat mengakhiri Perjanjian ini setelah ada pemberitahuan tidak kurang dari 90 (sembilan puluh) hari kepada Pihak lain; disediakan, namun, Perjanjian ini akan terus tetap berlaku sehubungan dengan Pernyataan Kerja yang telah diterbitkan berdasarkan perjanjian sampai seperti Work Pernyataan Kerja lain itu sendiri dihentikan dan / atau kinerja bawahnya selesai.

13,5. Kelangsungan hidup

Dalam hal pemutusan Perjanjian ini, persyaratan dan kondisi dari Pasal 10, Pasal 11, Pasal 12, Pasal 13.5 dan Pasal 14 Perjanjian ini akan bertahan dan terus berlaku dan harus diberlakukan untuk kepentingan dan menjadi mengikat Para Pihak dan hukum mereka perwakilan, ahli waris, penerus dan penerima.
