As you may be aware and as covered in the insurance media, Willis Group Holdings completed its investment in Miller Insurance Services LLP (“Miller”), covering Miller’s global operations on 1 June 2015.



The purpose of this letter is to explain the implications of this transaction and what you need to be aware of regarding the transfer of your business. In particular, we write requesting your specific consent to transferring Miller’s responsibilities to Willis (Singapore) Pte Ltd (“Willis”) on the terms of this letter.



Following a period of analysis and planning with Willis we are writing to inform you of changes we will be making in respect of the servicing and administration of Miller’s Reinsurance client base.



Broking Support

With effect from 1 June 2015 the broking and support for Indonesian clients will be transferred to Willis (Singapore) Pte Ltd. At that time all treaty business, previously placed and serviced by Miller, will be serviced by your existing broking team within Willis Re Singapore, utilising Willis systems and processes.



Addressing the operational changes, with effect from 1 June 2015 all contracts being renewed or newly placed will be given a Willis reference number using the Willis contract form, and will appear on a Willis statement of account. Full Willis bank details for payments will be given both at the time of invoicing and with our statement of account.



Proportional and Non Proportional Accounting



Any outstanding financial transactions (e.g. claims and adjustments) which have already been processed by Miller Singapore prior to 1 June 2015 will continue to be serviced by Miller.



All claims and adjustments on historic contracts will transfer to Willis and for proportional contracts Willis will handle the accounting on contracts which are in Run-off and in force contracts. Outstanding and future treaty statements and adjustment notices should be sent to Willis (Singapore) Pte Ltd. Please send statement of accounts and adjustments to middle-east&asia-ri@willis.com



Our aim is to make this transition as seamless as possible, with a minimum of inconvenience to you whilst we effect the necessary operational and regulatory changes.



Please refer to each individual invoice for instructions on where and to which legal entity payments should be made. In the event that monies are settled by you to either the Willis or Miller bank account in error, we would require your specific consent to the funds to be redirected to the correct account.



Terms of Business Agreement

In light of the above, we hereby attach the Willis Terms of Business Agreement (“TOBA”) which will apply to all transactions relating to new business, renewals of policies and servicing of in force, polices (as applicable) effected on or after 1 June 2015, as all such transactions will be executed by Willis as your broker of record.



Please complete the attached transfer form and send them back by email to Razi Sulaiman (razi.sulaiman@willis.com), Laurensius Hasan (hasanl@willis.com) , and Jane Ho (jane.ho@willis.com).
