Right to redistribute, in perpetuit

Right to redistribute, in perpetuity, the machine readable Mobile Device Reusable Library IP as delivered at the time of the Project and as necessary to directly enable the deliverables outlined in the Project and any Software Product(s), Service(s) or Solution(s) that is (are) the stated purpose(s) of the Work Statement;

Right to deploy, in perpetuity, the Software Reusable Library IP in compiled or un- compiled form as delivered at the time of the Project and as necessary for the proper functioning of the Software Product(s), Service(s) or Solution(s) that is (are) the stated purpose(s) of the Work Statement;

Right to use Ice House Platform as delivered at the time of the Work Statement and as necessary for the proper functioning of the Software Product(s), Service(s) or Solution(s) that is (are) the stated purpose(s) of the Work Statement;

Right to datamine, repackage, reappropriate and resell data transmitted to the Ice House Platform by the Client Product, and accessible via Ice House Platform as delivered at the time of the Work Statement.

6.4.4. Exclusions from the License

Client may not resell Licensed Intellectual Property to a Third Party. Client may not publicize, declare as “open source” nor redistribute free-of-charge any Licensed Intellectual Property to any person, organization or community. Client may not reverse engineer the Intellectual Property. Excepting data transmitted by the Client Product, data contained in the licensed databases may not be reappropriated nor resold, and may only be used as necessary for the proper functioning of the Software Product(s), Service(s) or Solution(s) that is (are) the stated purpose(s) of the Work Statement.


Article 7 Delivery and Acceptance
Ice House shall deliver all Deliverables, upon completion, to Client for testing and acceptance. Ice House shall notify Client in written or electronic communication of such delivery (each such notice, a ''Delivery Confirmation''), which sets forth the nature and condition of the Deliverables and the date of their delivery. Client’s Technical Coordinator shall acknowledge such Delivery Confirmation by written or electronic communication so as to indicate receipt of the contents described therein, and the Delivery Confirmation shall thereupon be transmitted to the Parties’ Contract Coordinators.

Within five (5) business days, Client shall issue to Ice House's Technical Coordinator a notice of acceptance or rejection of the Deliverables. In the event of rejection, Client shall give its reasons for rejection to Ice House's Technical Coordinator in reasonable detail in written or electronic communication. In the event no rejection notice is received within five

(5) business days of Client's Technical Coordinator's countersignature of the Delivery Confirmation, the Deliverables will be deemed accepted. If a Deliverable is rejected, Ice House shall correct any deficiencies or non-conformities and ensure that the Deliverables comply with the relevant Specifications before resubmitting the rejected Deliverables as promptly as possible in accordance with the provisions of this Article, provided the deficiencies are not out of the scope as mentioned in the Work Statement.


Article 8

Compensation and Payment of Expenses
8.1. Software Development Fees

The compensation payable to Ice House by Client for time spent on Software Development and/or related services shall be determined based on the hourly rates for Ice House's various employees and consultants, differentiated according to their skill level, as specified in each Work Statement, at the time the work is performed, plus all necessary and reasonable travel expenses, as described below.


8.2. Licensing Fees

The compensation payable to Ice House by Client for licensing of Ice House Intellectual Properties as specified in the Intellectual Property License Agreement Addendum.

8.3. Cloud Hosting and Infrastructure Services Fees

The compensation payable to Ice House for use of computing infrastructure hosted or managed by Ice House as specified in Cloud Services and Hosting Addendum.

8.4. Travel Expenses Outside Jakarta

For Software Development performed in Jakarta, Ice House shall not charge any travel related expenses. If traveling is required outside Jakarta, accommodation, travel and related expenses will be charged to Client based on actual costs.


8.5. Costs

The fixed or hourly rates charged by Ice House shall be in lieu of compensation or reimbursement for any costs (other than travel expenses as described 8.4 or burden incurred by Ice House, including (without limitation) occupancy, supplies, utilities, payroll, management and overhead.

Article 9 Invoicing

9.1. In General

Ice House shall submit invoices to Client addressed to Client's Contract Coordinator for payment for Software Development and/or Deliverables at such time or times as payment becomes due under the payment terms
