5.6 When the terms of the Contract are arrived at and agreed by respective Members individually/ independently, the Contract shall be signed by:

(a) the authorized representative of each Member (if acceptable by the Employer), or
(b) the authorized representative of the Leader on behalf of Consortium as may be instructed by PGE and the Members shall provide such authorizations for the same as may be required by PGE in this regard.

In the event of failure to agree on the terms of the Contract, no Contract shall be signed by the Consortium.


ARTICLE 6: DUTIES AND AUTHORITY OF THE LEADER

6.1 The Leader shall co-ordinate the activities of the Consortium and shall use its reasonable endeavors to enhance co-operation between the other Members and itself and to achieve the successful implementation of the Project.

6.2 Without limiting the general duties imposed on the Leader by Article 6.1 above, the Leader shall oversee the following with full co-operation and assistance of all Members:

(a) the co-ordination of the contributions to be made by the other Members and itself to the Tender;

(b) the co-ordination of commercial and technical negotiations with PGE, before and after the signing of the Contract;

(c) the co-ordination of the overall technical and commercial planning and management of the Works;

(d) the organization of meetings of the Consortium Committee as provided for in Article 7 at which the authorized representative of the Leader shall act as chairman; and

(e) correspondence with PGE. Copies of all correspondence passing between PGE and the Leader shall be forwarded without delay to the other Members. In matters relating solely or primarily to any other Member’s Scope of Work, the Leader may (subject to a prior written authorization) duly authorize such other Member to correspond directly with the PGE. Such other Member shall report the discussion held with PGE and send copies of all correspondence and of all documents referred to in the correspondence to the Leader and all the Members immediately on receipt or dispatch. The Leader may at any time revoke any such written authorization. Except with the prior written authorization of the Leader under this Article 6.2 (e), the other Members shall not correspond or communicate directly with PGE.

PASAL 6: TUGAS DAN KEWENANGAN PEMIMPIN 6.1 Pemimpin harus mengkoordinasikan kegiatan Konsorsium dan akan menggunakan upaya yang wajar untuk meningkatkan kerjasama antara anggota lainnya . dan itu sendiri dan untuk mencapai keberhasilan pelaksanaan Proyek 6.2 Tanpa membatasi tugas umum dikenakan pada Leader dengan Pasal 6.1 di atas, Pemimpin harus mengawasi berikut dengan penuh kerjasama dan bantuan dari semua Anggota: (a) bersama dengan penahbisan kontribusi yang akan dibuat oleh Anggota lain dan dirinya ke Tender; (b) koordinasi negosiasi komersial dan teknis dengan PGE, sebelum dan setelah penandatanganan Kontrak; (c) koordinasi dari perencanaan keseluruhan teknis dan komersial dan pengelolaan Pekerjaan; (d) organisasi pertemuan Komite Konsorsium sebagaimana diatur dalam Pasal 7 di mana perwakilan resmi dari Pemimpin bertindak sebagai ketua; dan (e) korespondensi dengan PGE. Salinan dari semua korespondensi yang lewat di antara PGE dan Pemimpin harus diteruskan tanpa penundaan ke Anggota lain. Dalam hal yang berhubungan semata-mata atau terutama untuk Cakupan lain Anggota tentang Kerja, Pemimpin mungkin (tergantung otorisasi tertulis) sepatutnya wewenang seperti Anggota lain untuk berhubungan langsung dengan PGE. Seperti lainnya Anggota wajib melaporkan diskusi yang diselenggarakan dengan PGE dan mengirim salinan dari semua korespondensi dan semua dokumen sebagaimana dimaksud dalam korespondensi dengan Pemimpin dan semua Anggota segera pada penerimaan atau pengiriman. Pemimpin dapat setiap saat mencabut otorisasi tertulis tersebut. Kecuali dengan izin tertulis dari Pemimpin berdasarkan Pasal ini 6.2 (e), yang lain Anggota tidak akan sesuai atau berkomunikasi langsung dengan PGE.
