Specific Purpose" means any business discussions, correspondence or negotiations held between the Parties in relation to the Project, or any other specified purpose that the Parties may agree in writing from time to time should be covered by the confidentiality undertakings contained herein.

2. The Receiving Party acknowledges and agrees that the Information is confidential, proprietary to the Furnishing Party, that the Receiving Party has no proprietary interest therein whatsoever and that the Information shall be treated by the Receiving Party as set out below.

3. In consideration of the Furnishing Party agreeing to disclose the Information to the Receiving Party, the Receiving Party hereby irrevocably undertakes to:

(a) not use any of the Information for any purpose other than for the Specific Purpose;

(b) keep all Information in its possession and control (subject to its right to provide such Information to its Personnel, Affiliated Companies and Representatives below), hold the Information in confidence and not disclose the Information to any of its Personnel, Affiliated Companies or Representatives except if, and only to the extent that, such disclosure is necessary for the furtherance of the Specific Purpose;

(c) ensure that any of its Personnel, Affiliated Companies or Representatives to whom the Receiving Party discloses such Information undertakes to keep such Information confidential on the terms and conditions of this Agreement as if that person were a Party to it;

(d) take, and ensure that any of its Personnel, Affiliated Companies or Representatives to whom the Receiving Party discloses such Information takes such precautions and makes such arrangements as are reasonably necessary to protect such Information and keep it confidential; and

(e) not disclose to any other third party the fact that discussions are taking place concerning the Specific Purpose or a possible transaction between the Parties concerning the Specific Purpose, or any of the terms, conditions, facts or status relating to such possible transaction, without the prior written consent of the Furnishing Party unless otherwise required or compelled by law, regulation, legal process or the rules of any applicable regulatory organisation, authority, agency or body including, without limitation, of any listing authority by which the shares or other securities of the Receiving Party (or the shares or other securities of any Affiliated Company of the Receiving Party ) are listed or traded or are to be listed or traded or of any government or regulatory organisation, authority, agency or body or other organisation, authority, agency or body with relevant powers to which the Receiving Party (or any of the Affiliated Companies of the Receiving Party) submit (each such organisation, authority, agency or body, a “Relevant Governmental Authority”).

4. The obligations of the Receiving Party in Clause 3 above in relation to the whole or any part of the Information shall not apply or cease (as the case may be) if the Information:

(a) is publicly available or otherwise in the public domain at the time of disclosure to the Receiving Party or subsequently becomes publicly known other than through the disclosure thereof by the Receiving Party or any of its Personnel, Affiliated Companies or Representatives in breach of this Agreement;

(b) was available to the Receiving Party or its Personnel, Affiliated Companies or Representatives on a non-confidential basis prior to its being so furnished;
